Terms of Service for Skedia

1. Acceptance of Terms

Welcome to Skedia! These Terms of Service (“Terms”) govern your access to and use of the Skedia website located at https://skedia.io (the “Website”), including any content, functionality, consulting services, and SaaS products (collectively, the “Services”) offered by Skedia (“we,” “us,” “our”).

By accessing the Website or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access the Website or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Skedia provides technology consulting services and may offer Software-as-a-Service (SaaS) products, including our AI Coordination Platform (MCP). Specific terms, conditions, and fees may apply to particular consulting engagements or SaaS subscriptions, which will be outlined in separate agreements or order forms.

3. Use of the Website and Services

  • Eligibility: You must be at least 18 years old to use our Services.
  • Permitted Use: You agree to use the Website and Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
    • In any way that violates any applicable Belgian or international law or regulation.
    • To exploit, harm, or attempt to exploit or harm minors in any way.
    • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
    • To impersonate or attempt to impersonate Skedia, a Skedia employee, another user, or any other person or entity.
    • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Skedia or users of the Services or expose them to liability.
  • Prohibited Actions: You also agree not to:
    • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Website or any SaaS product.
    • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any material.
    • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
    • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

4. User Accounts (If Applicable for SaaS)

  • Registration: To access certain features, particularly our SaaS products, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and keep your account information updated.
  • Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately at info@skedia.io of any unauthorized use of your account.
  • Responsibility: You are responsible for all activity that occurs under your account(s).

5. Intellectual Property Rights

The Website, Services, and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Skedia, its licensors, or other providers of such material and are protected by Belgian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or Services, except as necessary for your permitted use.

6. User Content (If Applicable for SaaS)

  • Your Content: If our Services allow you to post, link, store, share, or otherwise make available certain information, text, graphics, videos, or other material (“User Content”), you are responsible for the User Content that you post, including its legality, reliability, and appropriateness.
  • License Grant: By posting User Content, you grant Skedia a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, modify, process, adapt, distribute, and display such User Content solely to the extent necessary to provide and improve the Services.
  • Representations: You represent and warrant that: (i) the User Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

7. Payment Terms (If Applicable)

  • Fees: Certain Services, particularly consulting engagements and SaaS subscriptions, may require payment of fees. All applicable fees will be specified in a separate agreement, order form, or on the Website.
  • Billing: You agree to provide current, complete, and accurate purchase and account information. For recurring subscriptions, you authorize us (or our third-party payment processor, e.g., Stripe) to charge your payment method on an ongoing basis until cancellation.
  • Taxes: All fees are exclusive of applicable taxes (like VAT), which you are responsible for paying.
  • No Refunds: Unless otherwise specified in a separate agreement or required by law, all fees are non-refundable.

8. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SKEDIA DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

SKEDIA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SKEDIA, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, OR THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) 100 EUR.

10. Indemnification

You agree to defend, indemnify, and hold harmless Skedia, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any User Content you submit, any use of the Service’s content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Services.

11. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of, or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of Belgium without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the competent courts located in Ghent, Belgium, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

13. Termination

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

14. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and Skedia regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
  • Waiver: No waiver by Skedia of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
  • Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
